Need Help & information

I have i7 2.8 Ghz (860) with EVGA P55 classic Mob and 6GB DDR3 ram (1600) and windows 7 installed on the system .. as when i check by CPU-Z my Cpu speed is shown 1200 to 1400 it keeps changing and its never same.Why it changes i have been searching alot on this issue but i didnt had any answer so please can any one help me out because this also happens to my last system which was a core2 due 2.2 and it always used to show me the 1100 or 1300 and it keeps changing in CPU-z so wht is the issue behind is change of CPU speed . As i wanted to overclock but due to this i am scared. thanks in advance ...
